Having obtained in May 2015 the relevant authorisation from the Annual General Meeting (AGM), the Board of Directors decided at the end of October 2015 to implement with immediate effect an exceptional €1 billion share buyback to be completed by the end of June 2016.

When and where does the Airbus Annual General Meeting take place?

Being a company registered in the Netherlands, Airbus complies with the Dutch Civil Code with regard to its General Meetings. The Annual General Meeting is held within six months of the end of the financial year. The Board of Directors announces the date at least 10 weeks prior to the meeting. The Airbus Annual General Meeting is usually held in Amsterdam.

How can I participate in the Annual General Meeting?

Every holder of one or more shares is entitled to attend shareholders’ meetings, either in person or by written proxy. Those holding shares registered in their own name receive the relevant documentation directly from the Airbus Securities Department. Those whose shares are registered under Euroclear should request the relevant documentation from their financial intermediary or bank. Do any shareholders enjoy specific rights relating to Airbus and its governance?

Following a governance overhaul completed in 2013, no shareholder has special rights to designate members of the Airbus Board of Directors or management team or to participate in the governance of the Company. The Articles of Association contain ownership restrictions prohibiting any shareholder from holding an interest of more than 15% of the share capital or voting rights of the Company, acting alone or in concert with others.

What are the Company’s main risks and how are they managed?

Enterprise risk management (ERM) is a key management process within Airbus, serving to mitigate risks and increase opportunity on each level of the organization. The ERM system falls under the supervision of the Board of Directors, while the Executive top management assumes responsibility for its effectiveness. How does Airbus manage its exchange rate risk?

More than 70% of the company’s revenues are denominated in US dollars. A large portion of these dollar revenues is naturally hedged through dollar-denominated costs. The remainder of costs is incurred primarily in euros and, to a lesser extent, in pounds sterling. The company uses financial instruments to hedge its net foreign currency exposure and minimize the impact of exchange rate fluctuations on its profits.
